License Agreement

1. Introduction

This License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Saiyahouse ("Licensor") governing the use of the beats purchased from Saiyahouse.

By purchasing a license from Saiyahouse, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not purchase or use any beats from Saiyahouse.

2. Definitions

• "Beat" - The instrumental music composition purchased from Saiyahouse
• "Licensee" - The individual or entity purchasing the license
• "Licensor" - Saiyahouse, the owner of the beat
• "New Work" - Any new composition created by adding lyrics or vocals to the Beat
• "Recording" - The final audio recording of the New Work

3. License Types

3.1 MP3 Lease License

Price: ₦19.99

Format: MP3 (192kbps)

Usage Rights:

• Unlimited commercial use
• Unlimited streaming (Spotify, Apple Music, etc.)
• Unlimited radio broadcasts
• Unlimited live performances
• Up to 10,000 audio streams
• Up to 5,000 video views
• Up to 5,000 monetized video streams
• 1 commercial recording
• Non-exclusive (beat remains available to others)

3.2 WAV Lease License

Price: ₦29.99

Format: WAV (24-bit, 44.1kHz)

Usage Rights:

• All MP3 Lease rights
• Higher quality audio
• Up to 50,000 audio streams
• Up to 25,000 video views
• Up to 25,000 monetized video streams
• 2 commercial recordings
• Non-exclusive (beat remains available to others)

3.3 Trackouts/Stems License

Price: ₦79.99

Format: Individual track stems (WAV)

Usage Rights:

• All WAV Lease rights
• Individual track stems for mixing
• Up to 500,000 audio streams
• Up to 250,000 video views
• Up to 250,000 monetized video streams
• 5 commercial recordings
• Non-exclusive (beat remains available to others)

3.4 Exclusive License

Price: ₦299.99

Format: All formats (MP3, WAV, Trackouts)

Usage Rights:

• UNLIMITED commercial use
• UNLIMITED streaming
• UNLIMITED radio broadcasts
• UNLIMITED live performances
• UNLIMITED video views
• UNLIMITED monetized video streams
• UNLIMITED commercial recordings
• Full ownership of the beat
• Beat is permanently removed from catalog
• No other licenses can be sold

4. Granted Rights

Upon purchase of a license, Licensee is granted the following rights:

• The right to use the Beat to create New Works
• The right to distribute, perform, and broadcast the Recording commercially
• The right to monetize the Recording on all platforms
• The right to use the Beat in synchronization with visual media (music videos, films, etc.)
• The right to claim copyright ownership of the New Work (lyrics and vocals only)

5. Restrictions

Licensee may NOT:

• Resell or redistribute the Beat in its original form
• Claim ownership of the Beat or the underlying composition
• Register the Beat with any content ID system (YouTube Content ID, etc.)
• Use the Beat in a way that competes with Saiyahouse
• Remove or alter any copyright notices or watermarks
• Share the Beat files with others
• Use the Beat for illegal purposes

6. Credit Requirements

Licensee must provide proper credit to Saiyahouse in all public uses of the Recording:

• Format: "Produced by Saiyahouse" or "Beat by Saiyahouse"
• Locations: Song credits, video descriptions, social media posts, streaming platforms

Example: "Song Title - Artist Name (Produced by Saiyahouse)"

7. Royalties and Revenue

• Licensee keeps 100% of royalties and revenue generated from the Recording
• Licensor does not claim any percentage of Licensee's earnings
• Licensor retains publishing rights to the underlying Beat composition
• Licensee owns publishing rights to lyrics and vocals added to the Beat

8. Exclusive License Specifics

For Exclusive License purchases:

• The Beat is permanently removed from Saiyahouse catalog
• No other licenses for this Beat can be sold
• Licensee receives full ownership rights to the Beat
• Licensor retains the right to use the Beat in their portfolio (non-commercial)
• Licensor may not sell or license the Beat to any other party

9. Termination

This Agreement is effective upon purchase and continues indefinitely. Licensor reserves the right to terminate this Agreement if Licensee violates any terms of this Agreement.

10. Refund Policy

Due to the nature of digital products, all sales are final. Refunds will only be issued in cases of technical issues that prevent file delivery. Please contact support if you experience any problems.

11. Indemnification

Licensee agrees to indemnify and hold harmless Licensor from any claims, damages, or expenses arising from Licensee's use of the Beat or violation of this Agreement.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Ghana. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Ghana.
